ACCEPTANCE OF ORDER
These Terms, together with the purchase order submitted by Buyer, shall constitute the agreement between Buyer and Seller with respect to the purchase of any product sold in our store (the “Goods”). The Order becomes effective upon the first of: (a) Seller’s written acknowledgment of acceptance; (b) any performance by Seller under the Order; or (c) the passage of ten (10) days after Seller’s receipt of the Order without written rejection.
DELIVERY
After payment in full, Seller shall deliver the Goods to the Delivery Location on or around the Delivery Date specified in the Order.
INSPECTION
Buyer reserves the right to inspect the Goods within two (2) days after the Delivery Date. If Buyer reasonably determines that the Goods are defective or nonconforming, Buyer may reject the Goods within that period, in which case Seller shall promptly replace or repair the nonconforming parts pursuant to Section 5.
PRICE AND PAYMENT
The price of the Goods is the price stated on the face of the Order. Buyer shall pay in full upon the agreed payment date, which shall be prior to Delivery.
LIMITED WARRANTY
For a period of one (1) year from the first Delivery Date (the “Initial Limited Warranty Period”), Seller will repair or replace defective parts free of charge. For the four (4) years thereafter (the “Extended Limited Warranty Period”), Seller will repair or replace defective parts at Seller’s production cost, with Buyer responsible for shipping.
The Limited Warranty does not apply to problems arising out of: (a) modification or damage by Buyer or a third party; (b) operation or use other than as instructed; (c) combination with unapproved technology; (d) negligence or abuse; (e) breach of the Agreement; or (f) circumstances outside Seller’s reasonable control. Aesthetic changes, Buyer-caused damage, and normal wear and tear are excluded. This Section sets forth Seller’s entire obligation and liability for the Limited Warranty.
DISCLAIMER OF WARRANTIES
EXCEPT AS SET FORTH IN SECTION 5, THE GOODS ARE PROVIDED “AS-IS.” SELLER AND ITS AFFILIATES DISCLAIM ALL IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE PRACTICE. NEITHER SELLER NOR ITS SUBCONTRACTORS IS LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR THE COST OF SUBSTITUTE EQUIPMENT.
ASSUMPTION OF RISK / RELEASE AND WAIVER OF LIABILITY
Use of the Goods, including installing them on a motor vehicle and inflating or deflating its tires, is at Buyer’s own risk. Buyer assumes the risk of any personal, physical, or property injury or damage. Buyer represents that they have read all warnings and safety precautions provided by Seller, including: never exceeding the maximum pressure printed on the tire or the pressure limits set by the vehicle and tire manufacturers; checking every tire with a gauge before driving; keeping hands, hair and loose clothing clear of moving, pressurized and hot parts; that compressors, hoses and fittings become hot in use; and that the Goods are not a substitute for a professional inspection of tires, wheels and valves.
Buyer releases and discharges Seller (and its affiliates, employees, agents, and subcontractors) from any and all claims or causes of action (known or unknown) arising out of the use of the Goods, to the fullest extent permitted by law. This release is not intended as a release of claims of gross negligence or intentional acts.

Any changes to the Order shall be agreed in writing by both parties.
TERMINATION
Either party may terminate the Order for any reason upon prior written notice, provided shipment has not occurred.

In the event of such a chargeback, Buyer shall be liable for:
- (a) the full amount of the disputed transaction;
- (b) a $75 chargeback administrative fee;
- (c) reasonable attorneys’ fees and costs of collection in any proceeding where attorneys are permitted by court rule; and
